Terms of Use

These terms summarise the basis on which Noetic (a product of Noetic Laboratories) is made available. They are written in plain language; a full service agreement governs paid use.
1. Agreement to these terms
These Terms of Use govern access to and use of the Noetic website and platform, operated by Noetic Laboratories (OPC) Private Limited (“Noetic Laboratories”, “Noetic”, “we”), CIN U62012TN2025OPC186728. By accessing the platform you agree to these terms. Paid use is additionally governed by a signed order form / master services agreement, which prevails in case of conflict.
2. Definitions
“Service” means the Noetic platform and website. “Customer” means the organisation that subscribes. “User” means an individual authorised by a Customer to use the Service. “Worker data” means contract-worker and wage records processed through the Service.
3. The service & licence
Noetic is software for managing contract-labour compliance: onboarding, attendance, payroll, billing and statutory filings. Subject to these terms, we grant the Customer a non-exclusive, non-transferable right to use the Service for its internal business during the subscription term.
4. Eligibility & accounts
Accounts are created and managed by a Customer's administrator; the Service is not offered through public self-sign-up. Users are responsible for keeping credentials secure and for all activity under their account. Notify us promptly of any unauthorised use.
5. Customer responsibilities & data
The Customer is responsible for the accuracy and lawfulness of the data it enters, uploads or approves, and for having the necessary authority and legal basis to process its workers' data.
As between the parties, the Customer is the data fiduciary / controller of Worker data; Noetic processes it as a processor under the Customer's instructions (see the Privacy Policy and DPA).
6. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or with data you are not authorised to handle.
- Attempt to disrupt, overload, reverse-engineer, or gain unauthorised access to the Service.
- Resell or provide the Service to third parties except as permitted in writing.
- Upload malware or content that infringes the rights of others.
7. Compliance responsibility
Noetic generates registers, challans and returns from the data you enter and approve, to make compliance accurate, traceable and inspection-ready. Statutory responsibility for filings, payments and dues remains with the employer or contractor of record. The Service is a tool to assist compliance; it is not legal advice and does not transfer statutory liability to Noetic. You are responsible for reviewing and approving outputs before they are filed or relied upon.
8. Fees & payment
Fees, billing cycle and scope are set out in your order form or selected plan. Unless your signed agreement states otherwise:
- Subscriptions are billed on an annual basis, in advance, for the plan and team-size band you select.
- Fees are reviewed periodically and are subject to an annual price revision; any revised fees apply from your next renewal, with reasonable prior notice before they take effect.
- Fees are exclusive of applicable taxes (e.g. GST), which are charged in addition at the prevailing rate.
- Fees already paid are non-refundable except where required by law or expressly agreed; plan downgrades take effect at the next renewal.
- Overdue payments may lead to suspension after reasonable notice, as described under term, suspension and termination below.
9. Intellectual property
The Service, its software, design and brand are owned by Noetic Laboratories and its licensors. Your data remains yours; you grant us only the limited rights needed to operate and support the Service for you. No rights are granted except as expressly stated.
10. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only to perform under these terms, except where disclosure is required by law.
11. Privacy & data processing
Our handling of personal data is described in the Privacy Policy, and, for paid customers, in the Data Processing Addendum. By using the Service you acknowledge that policy.
12. Service availability & support
We aim to provide the Service on a commercially reasonable, generally-available basis and may perform maintenance, occasionally with downtime. Support levels are as set out in your agreement.
13. Warranties & disclaimers
Except as expressly stated in a signed agreement, the Service is provided “as is” and “as available” to the extent permitted by law, without implied warranties. We do not warrant that the Service will be uninterrupted or error-free, or that outputs will meet every regulatory interpretation without your review.
14. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential losses, and Noetic's aggregate liability is limited as set out in the applicable order form / master services agreement. Nothing limits liability that cannot be limited by law.
15. Indemnification
The Customer will indemnify Noetic against claims arising from its unlawful use of the Service or from Worker data it was not authorised to process. Noetic will defend the Customer against third-party claims that the Service itself infringes IP rights, subject to the agreement.
16. Term, suspension & termination
These terms apply while you use the Service. We may suspend or terminate access for material breach, non-payment, or legal/security reasons. On termination, the Customer may export its data within a reasonable window, after which data is deleted or anonymised subject to legal retention.
17. Changes to the service & terms
We may update the Service and these terms. Material changes will be reflected by revising the “Last updated” date and, where appropriate, by notice to customers. Continued use after changes take effect constitutes acceptance.
18. Governing law & jurisdiction
These terms are governed by the laws of India. The courts at Chennai, Tamil Nadu have exclusive jurisdiction, subject to any dispute-resolution terms in your signed agreement.
